Our client is looking for an Associate Counsel (Financial Regulations) to join their Vietnam financial services operations. They have been serving users and businesses across Greater Southeast Asia.
Requirements
● Qualified lawyer with 4-7 years’ post-qualification experience in financial services regulations and products.
● Strong working knowledge of financial services laws, the industry and products in Vietnam.
● Proven ability to manage complex matters, tight timelines and stakeholders, and to execute projects effectively.
● Experience structuring channeling arrangements, merchant/acquiring models, and fintech partnerships (BaaS, PSP, card & other schemes).
● Strong drafting and negotiation skills for commercial and regulatory contracts; experience with high value agreements and complex vendor/technology contracts.
● Strong written and verbal English communication skills, with the ability to simplify complex legal issues for non-legal audiences.
● Comfortable operating in a fast-paced, high-growth, and matrixed environment, balancing commercial pragmatism with legal compliance.
Responsibilities
● Provide commercial and regulatory legal advice to business stakeholders on payments, lending, insurance, banking and wealth products.
● Draft, review and negotiate day to day and high value agreements (merchant/acquiring, PSP/BaaS, lending partnerships, distribution/agency, channeling, vendor and technology contracts, NDAs, professional services, leases, employment and IP contracts).
● Advise on channeling arrangements, distribution agreements, cooperation agreements, licensing and ongoing conduct of business implications on the business; design contracting frameworks that allocate compliance, settlement and liability appropriately.
● Take part in in legal structuring for new products and features, and go to market initiatives: commercial terms, regulatory permissions, data flows, operational controls and escalation points.
● Interpret and apply Vietnam data protection, cybersecurity and cross border data transfer rules to product design, vendor selection and contract terms; draft privacy notices, data processing agreements and retention policies.
● Maintain and update internal legal policies, playbooks and standard contract templates; ensure alignment with HQ templates and local law.
● Monitor regulatory developments (SBV, MOF, MOIT, Police, data protection authorities and sector regulators etc), assess impact on products/operations and coordinate timely legal/regulatory responses with HQ and business teams.
● Support dispute resolution, investigations, regulatory inquiries and any enforcement matters; coordinate with HQ legal and compliance as needed.
